COMMITTEE OPERATIONS

INTRODUCTION
 
The Central California Joint Cable/Fisheries Liaison Committee (the "Committee") is a California Nonprofit Mutual Benefit Corporation organized under the Nonprofit Mutual Benefit Corporation Law. In the context of the Committees general purposes, policies and procedures have been established which have as their goal the improvement of the business conditions of the Undersea Cable and Commercial Fishing industries and the furtherance of their common business interests.
OFFICES
  The principal office of the Committee for the transaction of its business is located at 525 Harbor Street, Morro Bay, California 93442.
MEMBERS
 
The Committee has no voting members within the meaning of the California Nonprofit Corporation Law. All rights which would vest in members under the California Nonprofit Corporation Law instead shall vest in the Board of Directors of the Committee.
MANAGEMENT
  The Committee is governed by eleven voting Directors: four Trawl Fishing Industry Representatives, five Cable Company Representatives, and two Association Representatives.
  The Board of Directors selects as Officers of the Corporation; a President (referred to as the Chairman of the Board), a Secretary, a Chief Financial Officer, and a Committee Liaison Officer. The Officers serve one year terms with no limitation on the number of consecutive terms an Officer may serve.
MEETINGS OF THE BOARD OF DIRECTORS
 
Regular Meetings of the Board of Directors are held annually at a time and a place decided by the Board of Directors. Regular Meetings are open to the public, afford a reasonable opportunity for members of the public to address the Board of Directors, and are announced to the public and to the Fishing Industry of Morro Bay and Port San Luis in particular, at least fourteen days in advance.
  In addition to Regular Meetings, Special Meetings may be called and held upon the request of any Director of the Committee. To the extent practicable, Special Meetings are open to the public and announced to the public in advance.
COMMITTEE/LIAISON OFFICE FUND
  The Member Cable Companies fund a Committee/Liaison Office Fund that is used to pay for and reimburse Committee activities and Committee representatives.
  The Committee has established an annual budget for all Committee activities to be paid from the Committee Liaison Office Fund. This Administrative Budget includes reasonable amounts to:
  • Compensate Trawl Fishing Industry and Association Representatives for time and travel expenses reasonably incurred for approved Committee activities, including attendance at Committee meetings; and,
  • Pay Office expenses reasonably incurred and approved by the Committee to carry out Committee Activities; and,
  • Select, hire, and oversee a Committee Liaison Officer to carry out Committee activities and establish and run an office as necessary and approved by the Committee.
  A five person Administrative Budget Committee consisting of two Cable Company Representatives, two Trawl Fishing Industry/Association Representatives, and the Committee Liaison Officer, meets prior to the fiscal year and determines the amounts needed to fund the annual office administrative expenses. The Administrative Budget is then presented to the full Committee and when approved fifty percent of the Approved Administrative Budget is invoiced to the Member Cable Companies. At mid-year, the Administrative Budget Committee meets again to affirm or recommend adjustments (either up or down) to the full Committee. If approved, the remainder of the Approved Adjusted Administrative Budget is invoiced to the Member Cable Companies.
  The Approved Administrative Budget assessment is apportioned to each Member Cable Company in a proportion equal to the proportion of each Member Cable Companies contribution to the Commercial Fishing Industry Improvement Fund described in section 1.07 of the Agreement Between Cable Companies and Fishermen.
